How to Form and Structure a High-Tech Startup, Raise Funds from
Investors, Build a Global Business and Cash Out.
Aimed at startup founders, investors, lawyers, advisors, mentors, business
incubators, technologists and anyone involved with high-tech startup
ventures, this seminar explains how the nuts and bolts of entrepreneurship
are assembled, Silicon-Valley-style.
The program starts by revealing 7 secrets of Silicon Valley, and then
moves on to explore the top 10 tips for forming a fundable startup.
We investigate the business models and perspectives of venture capital and
angel investors. Then we explore securities regulation and how it applies
to startups raising finance from US investors.
Our valuation session presents various valuation techniques and how they
are applied to startup ventures in fundraising, merger, acquisition and
other scenarios. But valuation is only one of the terms of the
venture investment engagement, and we explore all the key provisions of
preferred stock financings including liquidation preference, veto rights
and other control issues.
We then review patent and intellectual property strategies and how they
apply to startup ventures before stepping through the process of selling
the business in a merger/acquisition transaction and selling the
technology in an asset sale. Finally, we explain the process of initial
public offering from the perspective of the startup founder.
As you can see, this one day seminar covers a good deal of material, and
has been designed to prepare entrepreneurs, their lawyers and advisors for
what to expect through the startup process.

Patent Monetization Seminar,

Aimed at inventors, patent attorneys, business lawyers, patent holders,
licensing professionals, business strategists and consultants, this
seminar explains the role and value of patents in the business environment
today and explores various methods of patent monetization.
The sessions starts by providing a summary of the patent framework in the
U.S. -- patents issued by the US patent office are most traded and
desirable in the market today. We then go on to analyze the players
and driving forces in the patent wars and the patent strategies available to large product oriented
corporations.
We analyze the different types and motivations of patent buyers,
the issues and objectives of different types of patent sellers, then explore ten different techniques for patent monetization, looking
at various types of patent sale and licensing.
The commercialization of a patented technology through a startup venture
is covered, explaining the various steps and insights into the business
spin-out maneuver.
The process of selling a patent is covered in some detail, explaining how
the best prices are achieved and how to avoid triggering declaratory
judgment lawsuits when approaching a potential buyer.
We investigate each of the provisions of the typical patent purchase
agreement, and the implications for the buyer and the seller.
One of the topics of most interest to attendees of this seminar is
valuation, and we show what a patent is worth and how patents are valued
under various scenarios.
As you can see, there’s a lot of interesting material in this full-day
seminar that’s highly relevant and topical in the current business
climate, especially in the high tech sector.

A serial entrepreneur, David founded numerous successful high technology startup companies in a career spanning almost 30 years. David’s current portfolio of companies includes Tynax, the global patent and technology exchange, Cambridge Manhattan Group, a startup creation and incubation company, Silicon Valley Business School and ValueMyPatent.com.

As Apple World Marketing Manager in the early 1990’s, David was responsible for Apple Computer’s marketing programs in Europe, Africa and the Middle East. A pioneer of the early Internet and worldwide web, David’s was founder and CEO of SurfMonkey, Inc., developing the leading web browser and safety service for kids. As CEO of MediaLive Inc., David designed one of the first web browsers, email and TV-set-top-box systems.
Davids' inventions have been awarded U.S. patents and his software and multimedia products have won critical acclaim.
David authored the book Zero-to-IPO, now published in Japanese as well as English language. He has addressed U.S. government congressional hearings and appeared on several radio and TV shows.
He holds a BSc.(Hons.) Computer Science & Economics from the University of Leeds (U.K.), a Postgraduate Diploma in Marketing from the University of Westminster (U.K.) and a J.D. from Santa Clara University School of Law (U.S.).
